OKI Group Code of Conduct

Based on the recognition that earning the trust of stakeholders will increase the value of the OKI brand, we will always comply with the provisions set forth in this Code of Conduct in our day-to-day operations.
* In this Code of Conduct, the OKI Group shall refer to Oki Electric Industry Co., Ltd. and the companies designated by Oki Electric Industry Co., Ltd. as being subject to this Code of Conduct. “We” shall refer to all officers and employees of the companies within the OKI Group, including temporary employees, contract employees, temporary agency workers, and part-time employees.
Basic Approach
- We will not only comply with the laws and regulations of each country and region and with company rules, but also respect international rules and their spirit, and act with a high sense of ethics in accordance with social conscience. To that end, we will endeavor to foster a corporate culture that enables the prompt sharing of information and issues and appropriate responses thereto.
- In carrying out all aspects of our corporate activities, we will keep in mind our goal of "contributing to the realization of a sustainable society and resolving social issues."
I. Customer Satisfaction
- We will always act from our customers' perspective and endeavor to deliver products and services that satisfy customers through innovation.
(1) We will endeavor to accurately understand the value sought by customers and to provide products and services that contribute to resolving customers' issues.
(2) We will provide appropriate information regarding the functions and usage of products and services.
(3) We will take customer feedback seriously and endeavor to reflect it in our products, services, and business practices. -
We will give top priority to delivering safe products to customers and strive to provide products and services that customers can use with confidence and peace of mind.
(1) We will comply with the safety laws, regulations, standards, and company rules applicable to products and services, and will always endeavor to ensure safety at every stage, including product planning, design, procurement, manufacturing, sales, distribution, installation, and maintenance.
(2) In the development and provision of products and services, we will give full consideration to not only quality, safety, and reliability, but also information security, environmental conservation, and ease of use.
(3) We will immediately verify the facts and respond appropriately, including by broadly disclosing information regarding accidents or safety matters related to products and services. -
We will protect intellectual property created in the course of our business activities and strive to make active use of such rights. We will also respect the intellectual property rights of third parties and endeavor to avoid intentional infringement of such rights.
(1) We will endeavor to establish and protect the results of intellectual activities such as research and development as intellectual property rights (including patent rights, utility model rights, design rights, trademark rights, and copyrights) and to make active use of such rights.
(2) We will respect the legitimate intellectual property rights of third parties and will not engage in deliberate infringement or unauthorized use thereof. -
We will manage, in an appropriate manner, confidential information of our company, our customers, business partners, and other parties.
(1) We will strictly manage the confidential information of each company of the OKI Group and will not engage in unauthorized or improper use, leakage, or disclosure thereof without following prescribed procedures, whether during or after employment.
(2) We will not use confidential information of customers, business partners, or others obtained in the course of business for any purpose other than legitimate purposes, and will strictly manage such information to prevent leakage or other incidents. -
We will handle personal information in appropriate ways, taking actions to safeguard such information.
(1) We will handle the collection, use, storage, disposal, and other processing of personal information appropriately in accordance with applicable laws, regulations, and company rules.
(2) We will implement safety management measures to prevent the leakage, loss, or damage of personal information. -
Recognizing the importance of information security, we will seek to prevent information leaks and related incidents.
(1) We will ensure thorough compliance with the OKI Group's information-related rules and endeavor to maintain and improve information security. - We will recognize our responsibility to support social infrastructure and, starting from social issues and the challenges and expectations of our customers, proactively engage in innovation and endeavor to continuously provide new value.
(1) Based on dialogue and collaboration that transcends organizational boundaries and roles, as well as global co-creation, we will engage broadly in activities ranging from the creation of new products, services, and businesses to operational improvement.
(2) Even in times of limited foresight, we will build on cycles of hypothesis testing and learning, manage risks appropriately, make decisions swiftly, and create value from a medium- to long-term perspective.
II. Fair Corporate Activities

We will comply with the antitrust and fair competition laws and regulations of each country and region and strive to ensure fair and free competition.
(1) We will comply with competition laws and engage in transactions based on the principles of free competition.
(2) We will maintain fair and transparent relationships with customers and competitors and will not engage in any conduct that could give rise to suspicion. -
We will endeavor to select business partners in fair and nondiscriminatory ways and engage in honest and fair transactions.
(1) We will conduct rational and non-discriminatory selection of business partners, both domestically and internationally.
(2) We will comply with laws and regulations relating to purchasing transactions and will not engage in unfair transactions that exploit a position of superiority.
(3) We will practice responsible procurement for the sustainable development of society across the entire supply chain. -
We will not give, offer, or accept bribes, whether in cash or in any other form, to or from any third party, including but not limited to government officials, customers, or their representatives.
(1) We will not engage in bribery of government officials, or persons equivalent thereto, whether domestic or foreign.
(2) We will not provide gifts, hospitality, or similar benefits, including monetary or material items, to any third party, such as customers, business partners, or their agents, beyond the scope of generally accepted business practices.
(3) We will not accept gifts, hospitality, or similar benefits, including monetary or material items, from business partners, prospective business entrants, or any other third party, beyond the scope of generally accepted business practices. -
We will give full consideration to the necessity and appropriateness of any donations or political contributions, and will make only those that are appropriate and in accordance with applicable laws, regulations, and company rules.

In order to maintain international peace and security, we will comply with the laws and regulations governing export controls for each country and region in which we operate.
(1) We will not engage in transactions that could jeopardize the maintenance of international peace and security.
(2) We will comply with export control laws and regulations, both domestic and foreign, in connection with transactions involving the export of goods and technology. -
We will conduct advertising, publicity, and related activities responsibly and based on facts.
(1) We will not make any representations or descriptions regarding the quality, performance, or specifications of products and services that are contrary to fact or likely to cause misunderstanding.
(2) We will not disparage other companies or their products.
(3) We will not provide premiums or incentives that exceed the scope permitted by applicable laws and regulations. -
We will manage the company's tangible and intangible assets appropriately and will not use them for any purpose other than proper business activities.
(1) We will make efficient use of the various tangible and intangible assets held by the company and manage them appropriately.
(2) We will endeavor to prevent the loss or theft of company assets and will not use them for any purpose other than business purposes. -
We will record and report financial and accounting-related information in an appropriate and correct manner. To avoid actions that may lead to any inaccurate records, we will comply with company rules and other relevant laws or regulations relating to our own duties.
(1) We will prepare all records and reports, including accounting books and financial records, in good faith, ensuring that they are timely, accurate, complete, and properly reflect the facts.
(2) We will not make false or misleading records. We will also not engage in any conduct that could lead to inaccurate records. -
We will refrain from any actions intended to seek personal gain or the gain of third parties in a manner contrary to the legitimate interests of the OKI Group.
(1) When a conflict of interest arises with the company, we will endeavor to avoid such conflict. -
We will resolutely confront antisocial groups and criminal organizations that pose a threat to the order and security of civil society and will sever all relationships with such entities.
III. Good Communications

We will endeavor to build relationships of trust through two-way and ongoing dialogue with a broad range of stakeholders.
(1) We will humbly listen to the views and opinions of stakeholders both inside and outside the company and endeavor to reflect them in our corporate activities.
(2) We will recognize the importance of public relations activities and actively cooperate in such activities. -
We will seek to ensure the accuracy of the OKI Group company information and to communicate such information in a timely and appropriate manner.

We will neither buy nor sell stock or other securities based on insider information, or information not publicly released from the OKI Group or other companies, nor provide any such information to other parties.
IV. Respect for Human Rights
- In all aspects of our business activities, we will always seek to understand internationally recognized human rights and respect the basic human rights of all people. We will not engage in discriminatory speech or conduct, or in any act that harms the dignity of any individual.
(1) We will not engage in discriminatory conduct or speech on the basis of gender, age, nationality, race, ethnicity, creed, social status, religion, disability, or any other grounds.
(2) We will respect the personal values and privacy of individuals and will not engage in defamation, slander, or any form of harassment. - We will not allow child labor nor forced labor.
V. A Better Working Environment

Complying with laws, regulations, and company rules concerning occupational safety and health, we will endeavor to maintain a safe working environment in which employees can work in good physical and mental health.

Respecting the diversity of employees, we will endeavor to create a comfortable working environment for all employees.
VI. Respect for Employees

We will seek to create a corporate culture in which employees respect each other's individuality and are free to discuss, create, and take on challenges.

We will seek to improve our abilities as needed for carrying out our business activities.
VII. Environmental Conservation

Taking a lifecycle perspective, we will advance the reduction of greenhouse gas emissions and the introduction of renewable energy across all business processes from product and service planning through manufacturing, maintenance, and operations, and will endeavor to provide environmentally conscious products and services, thereby contributing to the realization of carbon neutrality.

In our business activities, we will work toward reducing waste and promoting recycling, and contribute
to the realization of a circular society (circular economy) through the cyclical and efficient use of
resources. -
Recognizing the importance of the conservation of biodiversity and the sustainable use of natural resources, we will endeavor to reduce water consumption, suppress the release of chemical substances, and improve the rate of waste recycling, in order to minimize the impact of business activities on ecosystems.

We will comply with environmental laws, regulations, and requirements agreed upon with customers and stakeholders, strive to prevent pollution and protect the environment, and promote the reduction of environmental risks.

We will strengthen collaboration with business partners and engage in continuous improvement toward reducing the environmental burden across the entire supply chain.
VIII. Social Contribution
- Recognizing the importance of social contribution activities, we will, as good corporate citizens, endeavor to actively participate in various volunteer activities with consideration for local and national circumstances.
IX. Regional Awareness

We will seek to understand and respect the cultures, customs, and other aspects of the countries and regions in which we operate.
(1) Recognizing that different values and ways of thinking exist in each country and region, we will carry out our duties not only in compliance with international rules and local laws and regulations, but also with full consideration for cultures, customs, and other local conditions. -
As members of the local community, we will seek to build and maintain relationships of trust in the communities in which we operate.
X. Thorough Crisis Management
- We will anticipate crisis events such as the actions of antisocial groups, terrorism, cyberattacks, and natural disasters, and endeavor to implement organizational crisis management and responses thereto.
(1) We will place the highest priority on protecting human life and safety and endeavor to prevent the spread of damage.
(2) We will endeavor to ensure business continuity and minimize the impact on customers and society.
(3) With economic security in mind, we will endeavor to handle critical technologies, information, and materials appropriately.
For the Thorough Implementation of the Code of Conduct

While continuously monitoring views from inside and outside the company, OKI Group management shall endeavor to build effective internal controls and ensure their effective operation. We will lead by example in complying with this Code of Conduct and ensure that employees are fully informed of it through education and other means. If any incident that contravenes this Code of Conduct and results in a loss of public trust occurs, we will promptly investigate the causes, resolve the issues, implement measures to prevent a recurrence, and fulfill our responsibilities.

Any employee who becomes aware of actions that contravene or may contravene this Code of Conduct shall immediately report them to his or her supervisor or the designated whistleblowing contact at his or her company. Companies within the OKI Group shall not subject any employee who makes such a report in accordance with the whistleblowing system to any disadvantageous treatment.

An employee who is involved in any actions that contravene this Code of Conduct could be subject to punishment for the action with reference to relevant laws or regulations or the Work Rules.
Implementation System

The Board of Directors of Oki Electric Industry Co., Ltd. shall make decisions regarding the establishment, amendment, and abolition of this Code of Conduct.

As determined by the resolution of the Board of Directors of each company of the OKI Group, this Code of Conduct shall apply to all executives and employees.

When necessary in light of the laws, regulations, and practices of the countries in which it operates or of the nature of its businesses, each company of the OKI Group may modify the content of this Code of Conduct by resolution of its Board of Directors as long as such modification does not conflict with this Code of Conduct.

The Corporate Management Division of Oki Electric Industry Co., Ltd. shall be responsible for maintaining this Code of Conduct.
